General Terms and Conditions

1. Scope and Provider

These General Terms and Conditions (hereinafter "GTC") apply to all orders placed with Nautigo GmbH via the website seastormboats.eu. The version valid at the time of the order shall apply.

A consumer is any natural person who concludes a legal transaction for purposes that are predominantly outside their trade, business or profession (§ 13 German Civil Code, BGB). An entrepreneur is a natural or legal person or a partnership with legal capacity that, when concluding the contract, acts in the exercise of its trade, business or profession (§ 14 BGB).

Deviating terms of the customer do not become part of the contract unless Nautigo GmbH expressly agrees to their validity in text form.

2. Subject of the Contract

The subject of the contract is the sale of SeaStorm brand motorboats made of HDPE and related accessories. The boats are not pre-manufactured but are assembled and built exclusively on the basis of the individual selection made by the customer in the online configurator – in particular hull colour, upholstery colour, engine, equipment and transport or trailer.

The configuration documented in the order confirmation is decisive for the scope and characteristics of the goods. Illustrations on the website are example depictions. Minor, reasonable production-related deviations in colour shade, grain or equipment remain reserved, provided they do not significantly impair the agreed characteristics.

3. Conclusion of Contract

The presentation of the boats and configuration options on the website does not constitute a legally binding offer but a non-binding invitation to place an order.

Before bindingly submitting the order, the customer can review their selection in the order summary and correct their entries at any time by adjusting the configuration and using the usual keyboard and mouse functions of the browser.

By clicking the "Order with obligation to pay" button and completing the payment process, the customer submits a binding offer to conclude a purchase contract for the configured goods.

The contract is concluded when Nautigo GmbH declares acceptance of the order to the customer, at the latest upon provision of the invoice or confirmation of receipt of payment in text form by e-mail. A purely automatic acknowledgement of receipt or payment by the payment service provider does not yet constitute acceptance. If the contract is not concluded, any amount already paid will be refunded in full without delay.

The contract text (order data and GTC) is stored and transmitted to the customer with the order confirmation in text form on a durable medium (by e-mail); the confirmation expressly points out the exclusion of the right of withdrawal pursuant to § 312g(2) no. 1 BGB. The contract language is English.

4. Prices and Delivery Costs

All prices stated are final prices in euros and include statutory value added tax at the currently applicable rate of 19 %. Prices marked "from" are minimum prices for the respective basic configuration; the binding total price of your configuration is shown during the order process before payment is completed.

The prices shown in the configurator are exclusive of delivery costs. Delivery takes place by separate arrangement; the delivery costs depend on the delivery address, model and type of transport and are communicated and invoiced to the customer separately. The delivery costs also include transport from the factory to our location in Leverkusen; in the case of collection in Leverkusen, only the onward delivery to the delivery address is omitted. A non-binding delivery cost estimator is available in the shopping cart and at checkout for orientation; its figures are mere estimates and not binding.

Unless expressly stated otherwise, costs for registration, transfer, insurance or additional special requests are not included in the price shown.

5. Payment

Payment is made by advance payment via the payment service provider Stripe (Stripe Payments Europe, Ltd.) via SEPA/EU bank transfer. The transfer details (IBAN) are displayed to the customer immediately after completion of the order and additionally transmitted by e-mail.

The customer selects during the ordering process between full advance payment of the purchase price and a deposit of 30 % of the purchase price. If the deposit is chosen, the remaining balance becomes due upon separate agreement, at the latest before delivery.

After receipt of full payment or the deposit, Nautigo GmbH releases the goods for production. If the contract is not concluded, any amount already paid will be refunded without delay and in full.

Payment data is entered directly with Stripe; Nautigo GmbH does not receive complete payment means data. By using the payment service, its terms additionally apply.

6. Delivery, Delivery Time and Transfer of Risk

As these are individually manufactured goods, delivery or handover takes place by separate arrangement. Nautigo GmbH coordinates the expected completion or delivery date with the customer after conclusion of the contract.

Information on delivery times is, unless expressly designated as binding, non-binding approximate information. If an agreed delivery date is exceeded for reasons for which Nautigo GmbH is responsible, the customer may set a reasonable grace period of at least two weeks. If this is also not met, the customer is entitled to withdraw from the contract; payments already made will be refunded without delay in this case.

For consumers, the risk of accidental loss and accidental deterioration of the goods passes only upon their handover to the customer; in the case of shipment, only upon delivery to the customer (§ 475(2) BGB). If the customer is an entrepreneur, the risk passes upon handover to the transport company.

7. Retention of Title

Since the purchase price is to be paid in full in advance before delivery, there is no retention of title. Ownership of the goods passes to the customer at the latest upon their handover.

8. Right of Withdrawal

The boats ordered via the configurator are not pre-manufactured but produced in an individually assembled version according to the specifications made by the customer during the ordering process (hull colour, upholstery colour, engine, equipment and transport or trailer) and are not kept in stock in this composition. They are therefore goods that are manufactured to customer specifications and clearly tailored to the customer's personal needs. For such goods, there is no statutory right of withdrawal pursuant to § 312g(2) no. 1 BGB.

We expressly point out the exclusion of the right of withdrawal before completion of the order; the customer confirms acknowledgement during the order process. Further information can be found on the Right of Withdrawal page. The statutory rights in respect of defects (clause 9) remain unaffected.

Notwithstanding the statutory exclusion of the right of withdrawal, we grant you a voluntary cancellation right under clause 8a.

8a. Voluntary Cancellation Right Until Release for Production

Notwithstanding the exclusion of the statutory right of withdrawal (clause 8), Nautigo GmbH grants the customer a voluntary, free cancellation right. The customer may cancel their order free of charge as long as Nautigo GmbH has not yet released the order for production.

Nautigo GmbH notifies the customer of the release for production in text form by e-mail. Upon receipt of this notification, the order becomes binding; cancellation under this clause is excluded from that point onwards.

Cancellation is made informally in text form, for example by e-mail to [email protected] with specification of the order details.

In the event of timely cancellation, Nautigo GmbH refunds any payments already made – including any deposit – without delay and in full.

9. Warranty / Liability for Defects

The statutory provisions on liability for defects apply (§§ 434 et seq. BGB). For consumers, the limitation period for claims due to defects in newly manufactured items is two years from handover of the goods.

If a defect exists, the customer is first entitled to subsequent performance; the choice between repair and replacement delivery rests with the customer (§ 439(1) BGB). If subsequent performance fails, the customer may, in accordance with the statutory provisions, reduce the price, withdraw from the contract or claim damages or reimbursement of wasted expenditure.

Defects are to be reported to Nautigo GmbH using the contact details above. A guarantee going beyond the statutory liability for defects exists only insofar as it is expressly declared in text form for a specific product.

10. Liability

Nautigo GmbH is liable without limitation for damages resulting from injury to life, body or health that are based on a negligent or intentional breach of duty, as well as for other damages based on intentional or grossly negligent conduct. Liability under the Product Liability Act and arising from an expressly assumed guarantee remains unaffected.

In the event of slightly negligent breach of essential contractual obligations (cardinal obligations, the fulfilment of which makes the proper performance of the contract possible in the first place and on whose compliance the customer regularly relies), liability is limited to the contract-typical, foreseeable damage.

Otherwise, the liability of Nautigo GmbH is excluded. The above limitations of liability also apply in favour of the legal representatives and vicarious agents of Nautigo GmbH.

11. Dispute Resolution

The European Commission provides a platform for online dispute resolution (ODR): ec.europa.eu/consumers/odr. Our e-mail address is [email protected].

Nautigo GmbH is neither obliged nor willing to participate in dispute resolution proceedings before a consumer arbitration board.

12. Final Provisions

The law of the Federal Republic of Germany applies, excluding the UN Convention on Contracts for the International Sale of Goods (CISG). If the customer is a consumer, this choice of law applies only insofar as the customer is not thereby deprived of the protection granted by mandatory provisions of the law of the state of their habitual residence.

If the customer is a merchant, a legal entity under public law or a special fund under public law, the place of jurisdiction for all disputes arising from the contractual relationship is the registered office of Nautigo GmbH. For consumers, the statutory places of jurisdiction remain.

Should individual provisions of these GTC be or become invalid, the validity of the remaining provisions remains unaffected. Invalid provisions are replaced by the statutory regulations.
